These Terms & Conditions apply to the websites, mobile applications, portals, image capture tools, reporting systems and related services provided by SHOP VISION PTY LTD trading as Dtex Digital Data Collection (ABN 66 628 346 681) (“Dtex”, “we”, “us” or “our”).
1. Business use
Our services are provided for business-to-business use unless otherwise agreed in writing. Users may use the services only for authorised retail audit, field, project, reporting or operational work.
2. Accounts and access
Users are responsible for keeping login details secure and for activity carried out using their account. Users must not share access with unauthorised people or attempt to access projects, systems or reports they are not permitted to use.
3. Image capture and project data
Our applications may allow users to capture and upload retail images, store information, visit details and related project data. Users must capture only information required for the authorised task and must not deliberately capture unrelated personal information, private documents or sensitive information.
4. Image retention
Captured images are retained for 12 months unless otherwise agreed with the client or required for operational, legal or contractual reasons.
5. Client data
Client and project data remains subject to the relevant client agreement or project arrangement. Dtex does not sell captured data and does not supply captured images or client data to unrelated third parties.
6. Acceptable use
Users must not:
- Use the services unlawfully or outside authorised project work.
- Attempt to interfere with, damage, attack or compromise our systems.
- Reverse engineer, copy or bypass any part of the services unless expressly permitted in writing.
- Upload malicious code, misleading data or content unrelated to the service.
- Bypass security, permissions, workflow rules or data access controls.
7. Automated outputs
Our systems may use image recognition, OCR, data matching, validation workflows, automation and reporting processes. While we aim for reliable outputs, automated results may require review or correction and are not guaranteed to be complete or error-free.
8. Availability and changes
We aim to provide reliable services, but we do not guarantee that any website, application, portal or system will always be available, uninterrupted or error-free. We may update, modify, suspend or withdraw parts of the services where needed for maintenance, improvement, security or operational reasons.
9. Infrastructure providers
Our services may depend on secure cloud, hosting, diagnostics, communications and infrastructure providers. Use of these providers is for operating and supporting the service, not for selling or commercially supplying captured images or client data to unrelated third parties.
10. Intellectual property
Unless otherwise agreed in writing, Dtex owns its software, systems, workflows, models, designs, documentation, branding and other intellectual property. Client and project data remains subject to the relevant client agreement or project arrangement.
11. Privacy
Our handling of information is described in our Privacy Policy.
12. Limitation of liability
To the maximum extent permitted by law, Dtex is not liable for indirect, incidental, special or consequential loss, loss of profits, loss of business opportunity, loss of data or business interruption arising from use of the services. Nothing in these terms excludes, restricts or modifies rights or guarantees that cannot be excluded under applicable law, including the Australian Consumer Law.
13. Suspension or termination
We may suspend or terminate access where we reasonably believe there has been misuse, unauthorised access, breach of these terms, security risk or other conduct that could harm Dtex, our clients, users or systems.
14. Governing law
These terms are governed by the laws of New South Wales, Australia, unless a separate written agreement states otherwise.
